Business Organizations - The form of business chosen for a business entity potentially affects every aspect of its operations.  Our firm assists our clients in formation and business planning in deciding whether they want to operate as a closely held business, limited liability company, partnership, or corporation.  We advise our clients about directors’ and officers’ liability, dissolution, franchising, reorganization, trade association membership and activity, joint ventures, mergers, acquisitions, divestitures, business successions, and shareholders’ rights.   We have more than forty years of combined experience in handling both transactional and litigation matters.

Construction Law – Our firm represents homeowners in matters involving construction defects.

Wills and Trusts – We provide advice and counsel for a variety of small estate planning matters, including wills, trusts, powers of attorney, health care directives, guardianships and conservatorships. 

Probate & Estate Administration  - In addition to wills and trusts, we also practice in the area of probate and estate administration.  Probate is the legal process by which a person’s debts are paid and assets are distributed upon her or his death.  Estate Administration includes the probate process as well as non-probate transfers of the deceased’s assets.  Individual state laws direct the probate court how to distribute the deceased’s estate.  Because state laws and procedures vary greatly,  it is important to consult a firm with experience in this area of the law to ensure that the deceased’s assets are distributed correctly. 

Litigation & Appeals – A fair amount of our practice involves litigating matters both in and out of court, particularly in the areas of business and commercial law, which involves contract disputes, construction defect litigation and real estate matters.  We handle essentially any issue that arises during the operation of our clients’ business.  Ultimately most cases settle, however, if a fair settlement cannot be reached, we will take a case to trial, with our client’s best interests and bottom line in mind.

Real Estate Law   - In addition to construction law, we represent individuals and businesses in residential and commercial real estate transactions and litigation.  We represent clients in purchase and sale transactions, commercial and residential lease negotiations and transactions.
